Paraplan OnDemand

These Terms and Conditions (“Terms”) govern your access to and use of Paraplan OnDemand (“Paraplan OnDemand,” “we,” “our,” or “us”) and the services we provide. By engaging our services, you (“Client,” “Advisor,” or “you”) agree to be bound by these Terms.
1. Services Provided
Paraplan OnDemand provides outsourced paraplanning and related support services to financial advisors, registered investment advisors (RIAs), and financial planning firms. Services may include, but are not limited to, data entry, financial plan preparation, analysis, modeling, and plan updates.
All services are provided solely as back-office support. Paraplan OnDemand does not provide investment advice to end clients.
2. No Client-Facing Advice
Paraplan OnDemand does not:
Provide advice directly to your clients
Act as an investment advisor, broker-dealer, or tax preparer
Make discretionary decisions on behalf of clients
You remain the advisor of record and are fully responsible for all advice, recommendations, and client communications.
3. Client Responsibilities
You agree to:
Provide accurate, complete, and timely client data
Review all deliverables before presenting them to clients
Verify accuracy, assumptions, and recommendations
Maintain compliance with all applicable laws and regulations
Paraplan OnDemand is not responsible for errors arising from incomplete, inaccurate, or outdated information provided by you.
4. Scope of Work
Services are performed based on the scope agreed upon for each project or engagement. Any work outside the agreed scope may require additional fees and approval prior to completion.
5. Turnaround Times
Estimated turnaround times are provided in good faith but are not guaranteed. Timelines may vary based on project complexity, data quality, and workload.
Paraplan OnDemand is not liable for delays caused by incomplete data, revisions, or circumstances beyond our control.
6. Fees and Payment
Fees are disclosed and agreed upon prior to the start of work. Payment terms may include:
Flat-fee projects
Monthly support arrangements
Custom pricing for specialized analysis
Invoices are due according to the agreed payment terms. Late payments may result in paused services.
7. No Guarantees
Paraplan OnDemand does not guarantee:
Investment performance
Tax outcomes
Client results
Regulatory approval
All financial planning outputs are based on assumptions and projections that are inherently uncertain.
8. Confidentiality
We agree to maintain the confidentiality of all non-public client and firm information provided to us. Confidential information will be used solely for the purpose of delivering services.
This obligation survives termination of services.
9. Data Security
Reasonable administrative and technical safeguards are used to protect information. However, no system can be guaranteed 100% secure. You acknowledge and accept this risk.
10. Intellectual Property
All tools, templates, processes, and methodologies used by Paraplan OnDemand remain our intellectual property unless otherwise agreed in writing.
You retain ownership of your client data and final deliverables prepared specifically for your firm.
11. Limitation of Liability
To the maximum extent permitted by law:
Paraplan OnDemand shall not be liable for indirect, incidental, or consequential damages
Total liability shall not exceed the fees paid for the specific services giving rise to the claim
12. Indemnification
You agree to indemnify and hold harmless Paraplan OnDemand from any claims, losses, or damages arising from:
Your advice to clients
Your failure to review or verify deliverables
Your regulatory or compliance obligations
13. Independent Contractor
Paraplan OnDemand operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
14. Termination
Either party may terminate services at any time, subject to:
Completion of work already in progress
Payment for services rendered
Confidentiality and limitation of liability provisions survive termination.
15. Governing Law
These Terms are governed by the laws of the State of Pennsylvania without regard to conflict of law principles.
16. Modifications
Paraplan OnDemand may update these Terms from time to time. Continued use of services constitutes acceptance of updated Terms.
